Version 1.0 · Effective 12 October 2026
These Terms are an agreement between SolventC, a sole proprietorship registered in India (“SolventC”, “we”, “us”), and the organisation that uses our Services (“Customer”), including the institutions, branches and businesses it operates. The Data Processing Addendum forms part of these Terms.
- Acceptance. The Customer accepts these Terms by clicking “I accept” within the Services, by confirming an order, or by using the Services after receiving these Terms. The person accepting confirms they are authorised to do so for the Customer.
- The Services. “Services” means the software applications and related services we provide to the Customer, such as school management, business management (ERP) and other applications, together with shared components such as secure sign-in and notifications, including updates to them. The Services a Customer uses are those agreed with it, for example in a quote, invoice or email.
- Commercial terms. Pricing, plans, payment and any other commercial terms are agreed separately between the parties, for example in a quote, invoice or email. They are not part of these Terms.
- Customer responsibilities. The Customer:
- decides what personal data is entered into the Services and why, and is the Data Fiduciary for it;
- gives the individuals whose personal data it enters the notices, and obtains the consents, that the law requires, including verifiable parental consent where it processes children’s data and no exemption applies;
- creates and manages user accounts and roles, and removes access for users who leave;
- keeps its administrator login details secure; and
- ensures its users follow the Terms of Use.
- Our responsibilities. We will provide the Services with reasonable skill and care, maintain reasonable security safeguards, and process personal data only as set out in the Data Processing Addendum.
- Customer data. The Customer owns all data it enters. We use it only to provide the Services as described in the Data Processing Addendum. We may use aggregated statistics that do not identify any Customer or individual to improve the Services.
- Operation of the Services. We work to keep the Services reliable and available to a high standard. From time to time there may be short interruptions for upgrades and maintenance, or while we resolve an unexpected issue. We may also update and improve features.
- Intellectual property. We own the Services and all related intellectual property. While the Customer uses the Services, the Customer and its users may use them for the Customer’s own operations.
- Confidentiality. Each party will keep the other’s non-public information confidential and use it only for this agreement.
- Disclaimer. Apart from what these Terms state, the Services are provided “as is”. We are not responsible for the accuracy of data entered by the Customer or its users, or for decisions the Customer makes using the Services.
- Limitation of liability.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Our total liability for all claims, including claims under the Data Processing Addendum, is limited to the fees for the Services covering the quarter (three months) in which the event giving rise to the claim occurred. Where fees cover a longer period, this means the share of those fees for that quarter.
- These limits do not apply to fraud, wilful misconduct, or any liability that cannot be limited by law.
- Indemnity. The Customer will indemnify us against claims arising from data it entered without the required notice or consent. We will indemnify the Customer against claims that the Services infringe a third party’s intellectual property.
- Term and termination.
- These Terms apply for as long as the Customer uses the Services.
- Either party may end them for a material breach not fixed within 30 days of written notice. Ending the use of the Services otherwise follows the separately agreed commercial terms.
- After the Customer stops using the Services, we will handle its data as the Customer instructs in writing.
- Changes to these Terms. We will give at least 30 days’ notice of material changes by email or within the Services. Continued use after that date means acceptance. Some changes may also need to be accepted within the Services.
- Governing law. These Terms are governed by the laws of India. The courts at Gurugram have exclusive jurisdiction.
- Notices. Notices to us are sent through the Contact page on our website. Notices to the Customer are sent by email to the address we have on record.
- General. These Terms, the Data Processing Addendum and any separately agreed commercial terms are the entire agreement. Neither party is liable for delays caused by events beyond its reasonable control. Neither party may transfer this agreement without the other’s consent, except to a successor of its business.
